The General Counsel/COO for Cane Bay Partners VI, LLLP is primarily responsible for advising the company concerning legal rights, obligations, and assisting in the protection of the organization's legal interest and maintaining its operations within the scope established by law.Additionally the General Counsel/COO will direct, administer, and coordinate the activities of the organization in support of policies, goals, and objectives established by the Board of Directors by performing the following duties personally or through subordinate managers.
Essential Functions:
·Interprets laws, rulings, and regulations for company. Identifies and analyzes legal issues, drafts key documents, presents clear recommendations, and assures legal compliance.
·Studies Constitution, statutes, decisions, and ordinances of quasi-judicial bodies.
·Drafts transactional documents dealing with acquisitions, financing and dispositions.
·Provides hands-on counsel to all levels of executive and manages the operations of company’s legal department.
·Has familiarity with a variety of the fields’ concepts, practices and procedures.
·Provides asset and corporate level due diligence.
·Represents corporation in litigation and other legal proceedings.
· Examines legal data to determine advisability of defending or prosecuting lawsuit.
·Responsible for closing transactions, including sales, acquisitions and joint ventures.
·Assist with the negotiation of complex acquisitions, sales and funding of the acquisition and sales.
·Recommends complex resolutions including working with outside counsel when necessary.
·Works with finance group with respect to process design and implementation and assists in strategic planning for operations group.
·Directs the preparation of short-term and long-range plans and budgets based on broad corporate goals and growth objectives.
·Oversees executives who direct department activities that implement the organization's policies.·Implements programs that meet corporate goals and objectives.
·Creates the structure and processes necessary to manage the organization's current activities and its projected growth.
·Maintains a sound plan of corporate organization, establishing policies to ensure adequate management development and to provide for capable management succession.
·Develops and installs procedures and controls to promote communication and adequate information flow within the organization.
·Establishes operating policies consistent with the chief executive officer's broad policies and objectives and ensures their execution.
·Evaluates the results of overall operations regularly and systematically and reports these results to the chief executive officer.
·Ensures that the responsibilities, authorities, and accountability of all direct subordinates are defined and understood.
·Ensures that all organization activities and operations are carried out in compliance with local, state, and federal regulations and laws governing business operations.

Experience and Education:
Master's degree (M. A.) and Juris Doctorate or equivalent; or (4) four to (10) ten years related experience and/or training; or equivalent combination of education and experience
Must be a USVI licensed Attorney

Experience in managing outside counsel
Experience in corporate transactions with primary focus in financial transactions (including mergers and acquisitions)
Excellent analytical research and documentation writing skills as demonstrated by past draft examples.
Ability to handle multiple complex projects
Solid understanding of the various business processes
