A technology-forward management consulting company, in the international financial services sector, is seeking an in-house Counsel to add to their Legal/Compliance team. Our company has experienced explosive growth over the last five years and is now adding to their Legal Department. Focusing ourefforts primarily in the financial services industry, this management consulting practicespecializes in providing services to clients in need of sophisticated risk managementmodels, analytics,and portfolio management. This position will require the individual to travel up to a minimum of 20-30%.
Position summary:
In-house Counsel is primarily responsible for assisting in the protection of the organization's legal interest and maintaining its operations within the scope established by law.
Essential Functions:
·Responsible for identifying, analyzing and resolving legal, consumer and commercial compliance issues, drafting key documents, presenting and implementing sound recommendations, and facilitating risk mitigation and protection measures for the Company.·Draft, negotiate, and guide compliance with regulatory and stewardship provisions of licenses and other agreements.·Drafting of transactional documents dealing with acquisitions, financing and dispositions.·Provides hands-on counsel to all levels of executive and manages the operations of company’s legal department.·Familiar with a variety of the fields’ concepts, practices and procedures.·Provide asset and corporate level due diligence·Assess and advise on current and emerging legislative/regulatory/policy initiatives in areas of responsibility·Responsible for closing transactions, including sales, acquisitions and joint ventures.·Assist with the negotiation of complex acquisitions, sales and funding of the acquisition and sales.·Manage outside counsel to ensure high quality, cost-effective legal support and representation·Recommends complex resolutions including working with outside counsel when necessary.·Work with finance group with respect to process design and implementation and assist in strategic planning for finance group.

Experience and Education:
Must be a member of at least one state bar
Licensed Attorney
Five or more years experience in a business environment in counsel capacity or comparable law firm experience working directly with business people in financing on due diligence and in closing transactions
Ability to identify risks and propose alternative structures to mitigate risks
Ability to travel up to a minimum of 20-30%
Experience in managing outside counsel
Experience in corporate transactions with primary focus in financial transactions (including mergers and acquisitions)
Excellent analytical research and documentation writing skills as demonstrated by past draft examples.
Ability to handle multiple complex projects.
Solid understanding of the various business processes

Microsoft Word, Excel, PowerPoint, Outlook Exchange
Physical Requirements: Must be able to stand and sit for long periods of time, talking, hearing constantly.Occasionally lift up to 10 lbs. on occasionMust be able to sit in front of computer monitor (s) dailySitting and or standing for long periods of time.Noise level: moderate noise level daily in an office atmosphere.
